These are the complete list of Terms and Conditions for the Affiliate Program. The purpose of enrolling in the Affiliate Program is to allow you to make affiliate commissions for the sales of our subscriptions originating from your promotional activities in the manner set forth herein.
By signing up to be an affiliate in the Reporting Ninja Affiliate Program you are agreeing to be bound by the following terms and conditions. Please ensure that you read them carefully before signing up.
Any violation of these terms may result in, among other things, termination or suspension of your rights to be an affiliate and forfeiture of any outstanding affiliate referral fee payments earned. You agree to use the Affiliate Program at your own risk.
Throughout the following terms, the following definitions will apply:
Once you become an Affiliate, in the Affiliate App you will find your affiliate id so you can direct the user to any page on the public Reporting Ninja Website (except the legal ones, and the URLs related with the application itself on the subdomain app.reportingninj.com). Thus the reference should have the following appearance: URL?ref={ID}, where URL is a url of the page which you want to direct the user to, and (ID) is your affiliate id in our system. For example, the link to the Reporting Ninja Website home page with the affiliate id 00001 will look the following way: http://www.reportingninja.com?ref=00001

Upon acceptance from our end, you will become an affiliate. This does not imply that we will not re-evaluate your application at a later time. We reserve the right to reject your application at any point in time, at our sole discretion.
We won’t accept applications that include non-working websites, blogs without content, or parked domains. You can still share your reference link via e-mail, post videos or promote Reporting Ninja through social networks, such as Facebook, Twitter, etc.
In the event that Affiliate materially breaches this Agreement and the Company terminates this Agreement any accrued and payable Commissions owing to Affiliate shall be forfeited, and the Company shall not be obligated to pay such Commissions to Affiliate.
Affiliate agrees that Affiliate’s website(s), email communications, videos or posts in social networks do not contain contents that in our sole discretion are considered to:
As a member of the Affiliate Program, you will be granted access to the Affiliate App. Here you will have an option to review the details of our Affiliate Program including your affiliate id. In order for us to accurately keep track of all guest visits from your site to the Reporting Ninja Website, you must use include your Affiliate id in all links URLs to our Website.
The Affiliate is solely responsible for the maintenance and information updates on your site. For example if our pricing policy changes, it will be up to the Affiliate to update this information. We may monitor your site as we feel necessary to make sure that it is up-to-date and to notify you of any changes that we feel should enhance your performance.
It is your sole responsibility to follow all applicable laws, regulations, government decrees, authorities’ decisions and the like relating to:
that pertain to your website or any promotional materials on your website. If you violate any such rules of law or any third party presents any allegations or claims that pertain to information you place on your website and promotional materials you use, you will indemnify and hold the Company harmless for any and all costs arising out of any such violations, allegations or claims.
You may not issue any press release with respect to this agreement or your participation in the program; such action may result in your termination from the program. In addition, you may not in any manner misrepresent or embellish the relationship between us and you, say you develop our products, say you are part of Reporting Ninja or express or imply any relationship or affiliation between us and you or any other person or entity except as expressly permitted by this agreement.
As an affiliate, you can only create and use one (1) account. You can list multiple domains within one account, but only one account is allowed.
Self-referrals for affiliate purchases are strictly prohibited. This means that you cannot refer yourself, your immediate family, colleagues or the company you work for by using your affiliate link. You will not receive a Commission on any purchases by yourself for your own use, your immediate family members, colleagues or the company you work for.
We reserve the right to remove Abandoned Affiliate Accounts from our system if their balance is equal to or less than $50 after a 6 month period of inactivity. In this case any accumulated commissions below $50 (minimum payout threshold) will be forfeited.
We reserve the right to monitor your site at any time to determine whether you are following these Terms and Conditions. We may inform you of any changes to your site that we feel you should make, or to ensure that your affiliate links to our Website are placed appropriately and to notify you of any other changes that we feel should be made. Failure to make the changes to your site that we feel are necessary within reasonable time (no longer than 30 days) constitutes a material breach of this Affiliate Agreement.
We reserve the right to terminate your participation in the Affiliate Program immediately and without prior notice to you if you commit fraud or abuse this Affiliate Program in any way. If such fraud or abuse is detected, we shall not be liable to you for any Commissions for any fraudulent sales/sales based on abuse.
These Terms and Conditions will begin to apply to you upon our acceptance of your Affiliate application, and their application will continue indefinitely unless terminated hereunder.
Either the Affiliate or the Company may end this Affiliate Agreement at any time, with or without cause, by giving the other party written notice. Written notice can be sent by email to either party, or through any appropriate mechanism in the Affiliate App.
This Affiliate Agreement will terminate immediately without notice upon any material breach of the Terms and Conditions by the Affiliate.
We shall not be liable to pay any Commission to you after the termination of the Affiliate Agreement.
We may modify, add or remove any of these Terms and Conditions at any point in time. In such event, you will need to comply with a revised version of these Terms and Conditions when prompted to do so in the Affiliate App. If any modification is unacceptable to you, your only option is to end your association with the Affiliate Program by closing your account.
Continued participation in the Affiliate Program will indicate your agreement to the changes and your adherence to any modified Terms and Conditions.
For an affiliate to be eligible to earn a commission fee:
Affiliates who refer customers and are eligible for commission will be entitled to a commission percentage for all fees that we collect from that customer for the life of the customer’s account.
Even though Reporting Ninja paid plans are offered in USD and EUR, regarding the Affiliate Program for simplicity and easy of management, only USD currency will be considered as if there only was a single currency. For instance, a plan of 20 EUR will be considered as a plan of 20 USD in terms of commissions.
Commissions will be calculated over net payment amounts, before any taxes are applied.
The Commission generated from a payment on any date will be displayed as "Pending Approval" in the Affiliate account for ten (10) days. If the customer does not request refunds within this timeframe, and if the commission was not a result of a self-referral and doesn’t breach any other terms of this Affiliate Agreement, after those ten days you will see the commission in "Current Commissions" as "Available".
Commissions will become void for customers who ask for refunds or credits during the month the refund or credit are issued. We reserve the right to disqualify commissions and terminate affiliate accounts for affiliates that repeatedly refer customers that ask for refunds or credits.
We reserve the right to disqualify commissions earned through fraudulent, illegal, or overly aggressive, questionable sales or marketing methods.
Accrued commissions will be paid via PayPal on or before the 10th date of the month following the newest transaction that generated the commission. No commission payment shall be made unless the total accrued unpaid commissions exceed the minimum threshold of $50. The commission due is calculated in accordance with the statistics and balance that are collected, calculated and displayed on the Affiliate App. The only valid statistics used for determining Commissions will be those displayed in the Affiliate App.
When requesting the payments of unpaid commissions, the Affiliate is responsible for producing and attaching through the Affiliate App the associated invoice so we can proceed with its validation and payment. The Affiliate is responsible for including in his invoices all taxes applicable according to the applicable laws.
Affiliate is responsible for any and all charges, fees, taxes, exchange rates, surcharges and other expenses arising out of the Affiliate relationship with us including those incurred in order to receive affiliate payments.
Commission structure is subject to change at our discretion. We will notify all Affiliates 30 days prior to a commission structure change. Commissions earned under the previous structure will be paid under the previous structure. Commissions under the new structure will be paid under the new structure.
Affiliates are prohibited from bidding on trademarked/branded terms, as well as misspellings/variations thereof, including, but not limited to: Reporting Ninja, reportingninja.com and ReportingNinja.
Affiliates who do not direct the traffic from their SEM campaigns to their own website prior to refer users to our website, will be considered to be in material breach of the Affiliate Agreement.
Affiliates may not use reportingninja.com as the display URL in any search ad. The use of reportingninja.com or any variation is allowed in the display URL in search ads ONLY after the root URL (example: www.affiliatesite.com/reportingninja).
Affiliates must not use any illegal, deceptive or misleading claims in ad copy. Affiliates are also prohibited from including the phrase “Official Site”, official language, or trademark symbols in ad copy. Affiliates may not include Reporting Ninja or any misspelling or variation in ad copy.
Affiliates may not register or purchase domain names including the term Reporting Ninja or any misspellings or variations. Affiliates promoting Reporting Ninja in this manner will immediately be removed from the Reporting Ninja Affiliate Program and all associated transactions will be reversed. Reporting Ninja may not be used as a subdomain (example: reportingninja. affiliatesite.com), however, it may be used as a directory of your domain (example: www. affiliatesite.com/reportingninja).
As a condition to your participation in the affiliate program, you agree that while you are a program participant you will comply with all laws, ordinances, rules, regulations, orders, licenses, permits, judgments, decisions or other requirements of any governmental authority that has jurisdiction over you, whether those laws, etc. are now in effect or later come into effect during the time you are a program participant. Without limiting the foregoing obligation, you agree that as a condition of your participation in the program you will comply with all applicable laws (federal, state or otherwise) that govern marketing email, including without limitation, the CAN-SPAM Act of 2003 and all other anti-spam laws.
Advertising commonly known as "spamming" is inappropriate and unacceptable to us and constitutes a material breach of this Affiliate Agreement. Other prohibited forms of advertising include the use of unsolicited commercial email (UCE), postings to non-commercial newsgroups and cross-posting to multiple newsgroups at once. Additionally, you may not advertise in any way that effectively hides or misrepresents your own identity, your domain name, or your email address. You may use emails or other messages to customers to promote Reporting Ninja services if the recipient is already a customer or subscriber of your services or website, and recipients have the option to remove themselves from future mailings and such emails or other messages are otherwise sent in compliance with the laws applicable to them.
In any direct marketing messages sent by the Affiliate, the Affiliate must identify itself and its contact details. Where the Affiliate processes personal data relating to identified or identifiable individuals, the Affiliate undertakes to provide to data subjects any information required in the applicable data protection legislation (including but not limited to information referred to in Articles 13 and 14 of the General Data Protection Regulation (EU) 2016/679). The Affiliate shall especially provide to the data subjects information on how to exercise their rights under the applicable data protection legislation.
Also, you may only post to newsgroups to promote Reporting Ninja if the news group specifically welcomes commercial messages. You must always clearly represent yourself and your websites as independent from Reporting Ninja.
Affiliate shall not transmit any so-called “interstitials,” “Parasiteware,” “Parasitic Marketing,” “Shopping Assistance Application,” “Toolbar Installations and/or Add-ons,” “Shopping Wallets” or “deceptive pop-ups and/or pop-unders” to consumers from the time the consumer clicks on a qualifying link until such time as the consumer has fully exited the Reporting Ninja Website (i.e., no page from our site or any Reporting Ninja content or branding is visible on the end-user’s screen). As used herein a. “Parasiteware” and “Parasitic Marketing” shall mean an application that:
You and we are independent contractors, and nothing in this agreement will create any partnership, joint venture, agency, franchise, sales representative, or employment relationship between the parties. You will have no authority to make or accept any offers or representations on our behalf. You will not make any statement, whether on your site or otherwise, that reasonably would contradict anything in this agreement.
We make no express or implied warranties or representations with respect to the program or any products sold through the program (including, without limitation, warranties of fitness, merchantability, noninfringement, or any implied warranties arising out of a course of performance, dealing, or trade usage). In addition, we make no representation that the operation of the product sites will be uninterrupted or error-free, and we will not be liable for the consequences of any interruptions or errors.
We will not be liable for indirect or accidental damages (loss of revenue, commissions) due to affiliate tracking failures, loss of database files, and any results of “intents of harm” to the program or our website. We do not make any expressed or implied warranties with respect to the affiliate program and/or products sold at this site. We make no claim that the operation of the affiliate program and our website will be error-free and we will not be liable for any interruptions or errors.
The Terms of Service constitutes the entire agreement between you and us and govern your use of the service, superseding any prior agreements between you and us (including, but not limited to, any prior versions of the Terms of Service).
